    Is OpenAI Publicly Traded? The Foundation That Controls It, and the Ticker That Isn't Theirs

    The fastest way to settle whether a company is publicly traded is to look in the registry that would have to list it. The U.S. Securities and Exchange Commission publishes a file of every registrant carrying a ticker symbol. We retrieved it on August 13, 2026: 10,387 registrants with tickers, no ticker OPENAI, and no registrant whose name contains "OpenAI".

    That is the market answer. The durable one is structural: OpenAI's for-profit arm is controlled by a nonprofit foundation that appoints its entire board — and that, not market timing, is why there is no OpenAI share to buy.

    What OpenAI is, structurally

    From OpenAI's own structure page, retrieved August 13, 2026: "OpenAI was founded in 2015 as a nonprofit. … In 2019, we created a for-profit subsidiary … This for-profit has always been governed and controlled by the nonprofit." A recapitalization announced on October 28, 2025 rebuilt that shape: "The nonprofit is now the OpenAI Foundation. The for-profit is now a public benefit corporation, called OpenAI Group PBC…" — required, OpenAI says, to advance its stated mission and consider the interests of all stakeholders.

    The control relationship survived the redesign: "The OpenAI Foundation continues to control the OpenAI Group," and, through voting and governance rights held solely by the Foundation, it "appoints all members of the board of directors of OpenAI Group and can replace directors at any time."

    A company whose board is appointed, and removable at will, by a nonprofit is not one whose ownership is arranged for public trading. That is the starting condition underneath any question about timing.

    Is OpenAI publicly traded, and can you buy in?

    No, as of August 13, 2026 — and the two facts people collide have to be stated together.

    First, OpenAI announced on June 8, 2026 that it had submitted a confidential S-1: "We recently submitted a confidential S-1. … We have not decided on timing yet; it may be a while…" The announcement was made under Rule 135 of the Securities Act of 1933 and is not an offer to sell securities.

    Second, there is no public registration statement. An EDGAR search for S-1 filings by "openai" returns, verbatim, "No matching companies." Across all form types, 24 entities whose names begin "OpenAI" appear — none of them OpenAI. They are third-party SPVs and feeder funds that filed Form D, such as "OpenAI Startup Fund SPV I, L.P.", plus an unrelated "OPENAIRPLANE INC."; neither "OpenAI, Inc." nor "OpenAI Group PBC" is there. A full-text search for S-1s mentioning OpenAI returns 146 hits, every one another company's S-1 naming OpenAI as a third party. All three checks ran on August 13, 2026.

    Both are true at once, and reconciling them is the answer: a confidential submission is a private draft filed with the regulator — nothing to read, nothing priced, nothing to buy.

    OpenAI also says what happens to people who try to buy in anyway. Its policy on unauthorized OpenAI equity transactions, retrieved August 13, 2026: "All OpenAI equity is subject to transfer restrictions … Any attempted transfer … that does not follow this requirement is void." The vehicles it names include "investments in SPVs that own OpenAI equity; tokenized interests in OpenAI equity … and 'forward' contracts." Such transfers may violate US securities laws, OpenAI says, and a rescinded sale "will not be recognized and carry no economic value to you." We keep a separate status explainer on Anthropic.

    The ticker that isn't theirs

    In the same SEC file, AI is registered to C3.ai, Inc. — a different, unrelated company — and OPEN to Opendoor Technologies Inc. OpenAI has no symbol of its own, because it has no listed security to attach one to. If a quote page returns a live price for something that looks like OpenAI, ask which registrant that ticker belongs to.

    Who owns OpenAI

    The usual answer names Microsoft, and it is wrong. Control sits with the OpenAI Foundation, which appoints and can replace the entire board of OpenAI Group PBC. Microsoft is a large minority holder, and its own filings are the best source for that holding — including the fact that the number moved.

    Microsoft's Form 10-K for the fiscal year ended June 30, 2026, filed July 29, 2026: "We have an investment accounted for under the equity method that represents an approximate 25% interest on an as-converted basis." The widely repeated ~27% comes from Microsoft's earlier statement, filed as Exhibit 99.2 to an 8-K on October 29, 2025, describing its position as of the closing of the recapitalization. Both were correct on their dates; the 10-K notes that Microsoft's proportionate ownership fell in fiscal 2026 "due to the OpenAI Recapitalization and other funding activity." Use ~25%, dated July 29, 2026, until the next quarterly filing supersedes it.

    What exposure actually exists

    WEEX lists an OPENAI perpetual futures contract. It is a derivative: no shareholding in OpenAI Group PBC, no shareholder rights, no allocation in any future offering and no claim on one. It does not convert into stock, and it is specifically not a "tokenized interest in OpenAI equity" of the kind OpenAI's policy warns about. Leverage magnifies losses. Contract specifications and regional availability are not covered here.

    Separately, private secondary marketplaces — Forge Global, which publishes a "proprietary indicative price, calculated daily" that is an estimate rather than a market quote or an executable price, along with EquityZen and Hiive — describe themselves as offering pre-IPO exposure to accredited or qualified participants. The category exists, access is restricted, and the issuer disputes transfers made without its written consent. That is a description, not a route.

    What the $7 billion tender offer actually was

    Two different transactions get called a "tender offer". In a third-party secondary, existing shareholders — usually employees — sell to outside investors: no new shares, company cash unchanged, ownership transfers between holders. In an issuer buyback run as a tender offer, the company itself is the buyer: again no new shares, but cash leaves the company and the stake held by outsiders falls.

    On August 10, 2026 Bloomberg reported — bylines Rebecca Torrence and Shirin Ghaffary, sourced to two people with knowledge of the non-public transaction — a completed $7 billion repurchase at an $852 billion valuation, and its body text settles the mechanic: "The ChatGPT maker bought back shares from current and former employees rather than tapping outside investors for the tender offer." Bloomberg framed it as a departure, noting that comparable employee share sales had previously been backed by outside investors including Thrive Capital and SoftBank. So this was the second mechanic, not the first.

    The valuation was carried, not created: TechCrunch, citing Bloomberg the same day, traces the $852 billion figure to OpenAI's March 2026 raise of $122 billion at an $852 billion post-money valuation, unchanged by the tender, and hedged its own headline with "reportedly". Coverage did not converge — CNBC's headline said "share sale", TechCrunch's "tender offer", Startup Fortune's and dealroom's a buyback — and Bloomberg's body text is what resolves them; an account in which the buyers are outside parties does not fit it. Nor is any of it company-confirmed: OpenAI "declined to comment" to Bloomberg, did not respond to TechCrunch before publication, and has published nothing about the transaction. Treat every figure here as reported and dated August 10, 2026.

    Frequently asked questions

    Is OpenAI publicly traded? No. As of August 13, 2026 the SEC ticker registry lists no OpenAI ticker and EDGAR shows no public registration statement; OpenAI announced a confidential S-1 submission on June 8, 2026.
